(English Below)

Is a 2-Year Non-Compete an Unfair Contract Term, and Is It Really Enforceable?

Many employees resign and move to a new job, only to recall that their old employment contract said “no working for a competitor within 2 years.” Employers, in turn, wonder whether such a restriction is “really enforceable” or just written for show.

Put simply, a non-compete is like a fence that stops staff from taking their knowledge and trade secrets straight to a rival. The law does not forbid the fence, but requires that it “not be too high or too wide” as to shut off a person’s entire livelihood. Today, Prom Legal Solution looks at how fair and enforceable a 2-year non-compete really is.

A Non-Compete Is Not Void, but Must Be “Fair and Reasonable”

The key principle is in Section 5 of the Unfair Contract Terms Act B.E. 2540 (1997), which provides that an agreement restricting freedom to pursue an occupation (a non-compete) is not void, but if it imposes on the restricted party a burden greater than normally expected, it is enforceable only so far as it is fair and reasonable.

Simply put, a non-compete is valid and enforceable, but if drafted too broadly to be fair, the court has the power to cut it down to what is fair.

What the Court Weighs in Deciding “Fairness”

Under Section 5, paragraph two, the court weighs several factors together:

  • The geographic scope of the restriction (e.g. only Thailand, or worldwide)
  • The duration of the restriction (e.g. 1, 2, or 3 years)
  • The type of work/business restricted, whether narrowly tied to actual competition
  • The ability and opportunity of the restricted party to pursue other work
  • The legitimate interests of both parties

The core is that the restriction must not “shut off the livelihood” of the other party absolutely so they cannot survive.

So Is 2 Years Enforceable? The Supreme Court’s Line

Supreme Court Decision Restriction Period Outcome
2548/2533 24 months (2 years) Not unreasonably long; a valid reciprocal agreement; enforceable
13416/2558 2 years (barring work for watch-case-maker competitors, Thailand only) Clear business type and area, not an absolute bar to livelihood; enforceable
8374/2559 2 years (senior sales executive, coal business) Not excessive, not an unfair term; enforceable; the employee who breached must compensate
7724/2557 3 years (architectural paint business) Clearly specified type, not an absolute bar; enforceable
7364/2558 1 year A reasonable period, fair; enforceable
10971/2555 Originally set, Labour Court reduced it to 6 months Where excessive, the court used its Section 5 power to reduce the period to a fair one

As you can see, the Supreme Court’s general line treats a 2-year non-compete as a reasonable period and enforceable if it clearly specifies the business type and area and does not shut off the restricted party’s livelihood entirely. But if the restriction is too broad or too long to be fair, the court has the power to reduce it to what is fair.

Caveat: A 2-year period alone does not guarantee enforceability; the overall picture, area, type of work, and the employee’s position, matters too. For employers, drafting it “clearly and reasonably” makes it far more solidly enforceable than a broad, sweeping ban. And an excessively high penalty clause can also be reduced by the court.

Key Takeaways

  • A non-compete is not void, but enforceable only so far as it is fair and reasonable (Unfair Contract Terms Act B.E. 2540 (1997), Section 5).
  • The court weighs area, duration, type of work, the chance to pursue other work, and both parties’ interests.
  • The Supreme Court’s general line treats 2 years as a reasonable, enforceable period if clearly specified and not an absolute bar to livelihood (Decisions 2548/2533, 13416/2558, 8374/2559).
  • If too broad or long, the court can reduce the period to a fair one (Decision 10971/2555) and cut an excessive penalty.

Drafting a non-compete that is watertight and genuinely enforceable requires setting the right scope.
